Terms of Service

1. Acceptance of these terms
These Terms of Service (“Terms”) are an agreement between you and Occasely (“we”, “us”, “the Service”). By creating an account, connecting a social channel, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you use Occasely on behalf of a business, you confirm that you are authorised to accept these Terms for that business, and “you” means both you and the business.
2. The Service
Occasely is an AI-assisted social media manager for small businesses. You describe your business and the occasion; the Service drafts, schedules, and publishes posts to the social channels you connect — at launch: Instagram, Facebook, Google Business Profile, LinkedIn, and Telegram.
Occasely is currently in private beta. Features may change, be added, or be removed as we build, and occasional interruptions are more likely than in a finished product. We will give reasonable notice of changes that materially reduce what your plan includes.
3. Accounts and eligibility
- You must be at least 18 years old to use Occasely.
- The Service is intended for business use — managing the social presence of a business, brand, or professional practice.
- You agree to provide accurate account information and keep it up to date.
- You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us immediately at hello@occasely.com if you suspect unauthorised access.
4. Your content and AI output
You own your brand inputs — your business details, briefs, images, and other material you provide — and you own the posts Occasely generates for you. You grant us a limited licence to store and process this material solely to operate the Service, including sending it to the AI model providers described in our Privacy Policy.
AI-generated drafts are exactly that: drafts. You are responsible for reviewing every post before it is published — including prices, dates, offers, claims, and tone. You must not use the Service to create or publish content that is unlawful, infringing, deceptive, or harmful.
5. Connected social accounts
- When you connect a social channel, you authorise Occasely to publish content to that channel on your behalf.
- We act only on your instruction — posts you approve and schedules you set. We never post to your channels on our own initiative.
- Each connected platform has its own terms, and you are responsible for complying with them. We do not control platform outages, API changes, or policy decisions, and cannot guarantee that a scheduled post will be accepted by a platform.
6. Acceptable use
You agree not to:
- use the Service for spam, harassment, misinformation, or any unlawful purpose;
- publish content that infringes someone else’s intellectual property or privacy rights;
- attempt to probe, reverse engineer, or disrupt the Service, or access another customer’s data;
- circumvent plan limits (for example, by creating multiple free accounts for one business);
- resell or white-label the Service without a separate written agreement with us.
7. Subscription and billing
- Launch plans are billed in Indian Rupees: Free at ₹0 (2 channels, 10 AI posts per month), Growth at ₹999 per month, and Pro at ₹2,499 per month.
- Payments are processed by Razorpay. Prices exclude taxes; GST is added where applicable.
- Subscriptions renew monthly. If a renewal payment fails, you have a 7-day grace period to update your payment method before your account moves to the Free plan.
- Downgrading never deletes your data. Your content, drafts, and history remain; features beyond your new plan’s limits are simply locked until you upgrade again.
- Except where required by law, fees already paid are non-refundable. You can cancel at any time, effective at the end of the current billing period.
8. Disclaimers
AI can make mistakes. Generated content may be inaccurate, out of date, or off-brand, and occasion suggestions may not suit every business — review before you publish. As a beta product, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose and uninterrupted availability.
9. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential losses — including lost profits, lost revenue, or lost data — arising from your use of the Service. Our total aggregate liability for all claims relating to the Service is limited to the fees you paid us in the 12 months preceding the claim.
10. Termination
You may stop using Occasely and delete your account at any time. We may suspend or terminate your account if you materially breach these Terms, if required by law, or if the beta programme ends. On termination, scheduled posts stop and your data is handled as described in our Privacy Policy.
11. Governing law
These Terms are governed by the laws of India. Any dispute arising from these Terms or the Service is subject to the exclusive jurisdiction of the competent courts in India.
12. Changes to these terms
We may update these Terms as the product and the law evolve. If a change is material, we will notify you by email or in the app before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.
